Terms of Service

1. Agreement to Terms

By accessing or using Outserp’s platform and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, you may not access our Services.

Outserp is operated by Outserp (“Company”, “we”, “our”, or “us”), a company registered in England and Wales with its registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE, United Kingdom.

2. Description of Services

Outserp provides an AI-powered SEO content platform that helps businesses improve their visibility in search results and AI-powered search engines. Our Services include:

  • AI-powered content generation, optimisation, and publishing
  • AI search visibility tracking and brand monitoring
  • Website SEO auditing and content analysis
  • Google Search Console and Google Analytics integration
  • Keyword research and content scheduling
  • Analytics, reporting, and performance insights
  • API access for programmatic content management
  • Project and team collaboration tools

3. Account Registration and Security

To use certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

An “Authorised User” is an individual — such as an employee, contractor, or client of the Customer — who is invited to use the Services. Authorised Users may have varying levels of access and permissions depending on the subscription plan and Customer’s configuration.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscriptions and Billing

Ordering Subscriptions

Subscriptions allow you and your Authorised Users to access the Services. A subscription may be procured through the Services interface or via an order form. Subscriptions commence when we make them available to you and continue for the term specified.

Free Trial

We may offer a free trial period to allow you to evaluate Outserp before committing to a paid subscription. You must cancel before the trial period ends if you do not wish to continue. If you do not cancel, your subscription will automatically convert to a paid plan at the standard rate.

Auto-Renewal

Unless you cancel before the end of the current billing period, subscriptions automatically renew for additional periods equal to the original subscription term. You will be charged the then-current subscription fee at the beginning of each renewal period. You may cancel auto-renewal at any time through the Services interface or by contacting support.

Payment Terms

All payments are processed through Stripe, and you agree to Stripe’s terms and policies. All fees are non-refundable except as expressly stated in these Terms. If you fail to pay fees when due, we may suspend or terminate your access after providing reasonable notice.

Credits and Usage

Each subscription includes usage allowances for article generation, keyword requests, page audits, and other features as specified in the plan. Unused allowances do not roll over between billing periods unless specified in your plan. Additional credits may be purchased separately.

Price Changes

We reserve the right to change pricing at any time. Price changes will not affect existing subscribers during their current billing cycle. We will make reasonable efforts to notify you of significant changes via email before they take effect.

5. Refund Policy

All payments for Outserp subscriptions are non-refundable. This includes trial fees and all subsequent subscription payments. No refunds will be issued for unused or partially used credits, cancellation mid-cycle, service dissatisfaction, or technical issues.

We encourage you to fully utilise any trial period to determine whether Outserp meets your needs. If you experience technical issues, please contact us at support@outserp.ai and we will work to resolve them promptly.

6. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to our systems or networks
  • Interfere with or disrupt the Services or servers
  • Use automated systems to access the Services beyond normal usage
  • Impersonate any person or entity
  • Generate content that is illegal, harmful, threatening, or abusive
  • Create multiple accounts to abuse trial periods, promotions, or usage limits
  • Engage in any fraudulent, deceptive, or manipulative practices
  • Resell or redistribute the Services without authorisation

7. Intellectual Property Rights

Our Content

The Platform, Services, and all related technology — including our software, algorithms, AI models, databases, and proprietary content — are owned by Outserp and protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of any content you submit to the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display that content solely for the purpose of providing and improving our Services.

AI-Generated Content

Content generated by our AI tools is provided to you for your use. You have full rights to use, modify, publish, and commercialise any content created using our Services. However, you acknowledge that:

  • AI-generated content may occasionally include inaccuracies and should be reviewed before publication
  • You are solely responsible for fact-checking and ensuring accuracy of content you publish
  • Outserp is not liable for any consequences arising from the use of generated content
  • Multiple users may receive similar content if they use similar inputs or keywords

AI Output Restrictions

You agree not to use any outputs generated via the Services to train, fine-tune, or otherwise improve any competing AI or machine learning models or services.

Feedback

If you provide feedback or suggestions regarding the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate such feedback into the Services.

8. AI Usage and Transparency

Outserp uses generative AI to accelerate content creation, provide SEO analysis, and deliver optimisation recommendations. We are committed to transparency about how AI is integrated into our platform:

  • Content generation: AI systems draft articles, briefs, and recommendations based on your inputs. All outputs should be reviewed and verified by humans before publication.
  • AI visibility tracking: We generate and run synthetic queries against AI platforms on your behalf to track brand visibility. This data is about your brand’s presence in AI search results and does not contain personal data about end users.
  • SEO analysis: AI-powered insights, recommendations, and scores are provided for informational purposes. We do not guarantee any specific SEO outcomes, search rankings, or traffic increases.
  • Model improvement: We may use aggregated, anonymised data to improve our AI models. Identifiable Customer Data is not used for model training without explicit consent.
  • Content moderation: We reserve the right to monitor, review, or remove any inputs or outputs that violate these Terms, applicable law, or pose reputational or security risks.

9. Third-Party Services and Integrations

Our Services may integrate with third-party platforms (e.g. Google Search Console, Google Analytics, WordPress). Your use of these integrations is subject to the third party’s terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.

10. Service Availability and Disclaimers

While we strive to provide reliable and uninterrupted service, the Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee that:

  • The Services will be available at all times without interruption
  • The Services will be error-free or that defects will be corrected
  • AI-generated content or recommendations will meet your specific requirements
  • Any specific SEO outcomes, search rankings, or traffic increases will be achieved
  • Stored data will be preserved indefinitely

We may offer beta or pre-release features identified as such. Beta features are provided “as is” without warranties and may not function as intended.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMX AGENCY LTD’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR COSTS OF OBTAINING SUBSTITUTE SERVICES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Outserp, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Services in violation of these Terms
  • Content you create, submit, or publish using the Services
  • Your violation of any third-party rights or applicable laws

13. Termination

Termination by You

You may cancel your subscription at any time through the Services interface or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Termination by Us

We may terminate or suspend your access immediately if you:

  • Breach these Terms and fail to cure within 30 days of notice
  • Fail to pay fees when due
  • Use the Services in a manner that poses security or legal risks
  • Violate our usage policies or applicable laws
  • Engage in fraudulent or abusive activity

Effect of Termination

Upon termination, your access to the Services ceases. We will retain your data for 30 days to allow recovery, after which it may be permanently deleted. We recommend exporting any data you wish to retain before cancellation. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and general provisions survive termination.

14. Account Abuse

We reserve the right to immediately terminate your account if we identify system abuse, including but not limited to:

  • Manipulating or exploiting the Services beyond their intended use
  • Creating multiple accounts to abuse trials or promotions
  • Using VPNs, temporary emails, or other methods to circumvent our systems
  • Sharing credentials or allowing unauthorised account access
  • Fraudulent payment activities or chargebacks made in bad faith

Account termination decisions are made at our sole discretion. If you believe your account was terminated in error, contact us at support@outserp.ai.

15. Data Processing and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described therein.

16. Confidentiality

Each party acknowledges that it may receive confidential information from the other. Confidential information includes technical data, business information, and any information marked as confidential. Each party agrees to keep such information confidential, use it only for purposes of the contract, and not disclose it to third parties without prior written consent.

17. Force Majeure

Neither party will be liable for failure or delay in performance due to events beyond reasonable control, including denial-of-service attacks, third-party service failures, strikes, riots, fires, acts of God, war, terrorism, and governmental action.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website, updating the date at the top of this page, and sending email notification for significant changes. Continued use after changes become effective constitutes acceptance of the modified Terms.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Miscellaneous

  • Entire Agreement: These Terms, together with any Order Forms, constitute the entire agreement between you and Outserp regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: No failure or delay in exercising any right constitutes a waiver of that right.
  • Assignment: You may not assign rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Survival: Sections relating to intellectual property, confidentiality, indemnification, disclaimers, limitation of liability, and general provisions survive termination.
